Affiliate Program Terms & Conditions

To participate in the Program, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain accurate account information
• Not engage in any fraudulent or illegal activities

DineXpress reserves the right to reject any application at its sole discretion.

3.1 Commission Rates:

• Premium Plan: 20% first month, 5% months 2-12
• Enterprise Plan: 25% first month, 10% months 2-12

3.2 Qualified Referrals:

A referral is considered qualified when:

• The referred restaurant completes registration using your affiliate link or code
• The restaurant upgrades to a paid subscription plan
• Payment is successfully processed
• The restaurant remains active (no refunds or chargebacks)

3.3 Cookie Duration:

Affiliate cookies are valid for 30 days from the initial click on your referral link.

4.1 Payment Schedule:

Commissions are paid monthly, within 30 days of the end of each calendar month.

4.2 Minimum Payout:

The minimum payout threshold is $50 USD (or equivalent in your preferred currency).

4.3 Payment Methods:

• PayPal (for international affiliates)
• Bank Transfer (for Nepal-based affiliates)
• eSewa (for Nepal-based affiliates)

4.4 Taxes:

You are responsible for all taxes associated with commission payments. DineXpress may withhold taxes as required by law.

As an affiliate, you agree to:

• Promote DineXpress honestly and ethically
• Not make false or misleading claims about our products or services
• Comply with all applicable laws and regulations
• Not engage in spam or unsolicited marketing
• Not use paid search advertising with DineXpress brand terms
• Clearly disclose your affiliate relationship when promoting DineXpress
• Not engage in self-referrals or fraudulent activities

The following activities are strictly prohibited:

• Cookie stuffing or any form of cookie manipulation
• Trademark or brand bidding on search engines
• False or misleading advertising
• Spamming or sending unsolicited emails
• Using automated systems to generate clicks or referrals
• Creating fake accounts or self-referrals
• Promoting DineXpress on adult, illegal, or inappropriate websites

7.1 By You:

You may terminate your participation at any time by notifying us in writing.

7.2 By DineXpress:

We reserve the right to terminate your participation immediately for:

• Violation of these Terms and Conditions
• Fraudulent or suspicious activity
• Inactivity for more than 12 months
• Any reason at our sole discretion with 30 days notice

7.3 Effect of Termination:

Upon termination, you must immediately cease all promotional activities. Earned but unpaid commissions may be paid at DineXpress's discretion.

DineXpress grants you a limited, non-exclusive, non-transferable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting DineXpress as an affiliate. All intellectual property rights remain with DineXpress.

DineXpress shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your participation in the Program. Our total liability shall not exceed the total commissions paid to you in the 12 months preceding the claim.

DineXpress reserves the right to modify these Terms and Conditions at any time. We will notify you of material changes via email. Continued participation in the Program after such modifications constitutes acceptance of the new terms.
